Terms and Conditions

Introduction

Welcome to ProRelix Education LMS. By accessing or using our Learning Management System (“LMS”), you agree to comply with and be bound by the following terms and conditions (“Terms”). If you do not agree with these Terms, you are prohibited from using the LMS.

User Accounts

  • Account Creation: To access certain features of the LMS, you may be required to create an account. You agree to provide accurate and complete information during the registration process and to update such information to keep it accurate and complete.
  • Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

Use of the LMS

  • License: We grant you a limited, non-exclusive, non-transferable license to access and use the LMS for your personal or internal business purposes, subject to these Terms.
  • Prohibited Conduct: You agree not to use the LMS for any unlawful purpose or in any way that could harm or disrupt our services or network. Prohibited conduct includes, but is not limited to, the following:
  • Unauthorized access or use of our LMS or systems.
  • Uploading or transmitting viruses or other harmful code.
  • Infringing upon the intellectual property rights of others.
  • Engaging in any activity that interferes with or disrupts the LMS.

Content

  • User Content: You retain ownership of any content you upload or post to the LMS (“User Content”). By posting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your User Content in connection with the operation of the LMS.
  • Prohibited Content: You agree not to post any content that is unlawful, offensive, defamatory, or otherwise inappropriate. We reserve the right to remove any content that violates these Terms.

Intellectual Property

  • Ownership: The LMS and its original content, features, and functionality are and will remain the exclusive property of ProRelix Education and its licensors. The LMS is protected by copyright, trademark, and other laws of both the United States and foreign countries.
  • Trademarks: The ProRelix Education name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of ProRelix Education or its affiliates or licensors. You must not use such marks without the prior written permission of ProRelix Education.

Termination

  • Termination by Us: We may terminate or suspend your access to the LMS immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms.
  • Effect of Termination: Upon termination, your right to use the LMS will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Disclaimers

  • No Warranty: The LMS is provided on an “AS IS” and “AS AVAILABLE” basis. We make no warranties, express or implied, regarding the LMS, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • Limitation of Liability: In no event shall ProRelix Education, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the LMS; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; and (iii) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the LMS by any third party.

Governing Law

These Terms shall be governed and construed in accordance with the laws of the state of [Your State/Country], without regard to its conflict of law principles. Any dispute arising out of or related to these Terms or the LMS shall be resolved exclusively in the state or federal courts located in [Your Jurisdiction].

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
